Terms of Service

Effective date: 3 May 2026

Important: These terms constitute a legally binding agreement between you and Cognisafe LTD. If you are accepting on behalf of an organisation, you warrant that you have authority to bind that organisation.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the services, software, and platform provided by Cognisafe LTD, a company registered in England and Wales ("Cognisafe", "we", "us", or "our").

By creating an account, accessing, or using the Cognisafe platform (the "Service"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

2. Description of Services

Cognisafe provides an LLM safety, observability, and governance platform that enables organisations to:

  • Monitor, log, and analyse LLM API requests and responses in real time
  • Detect safety threats including prompt injection, PII leakage, jailbreak attempts, and system prompt extraction
  • Generate compliance and audit reports mapped to the OWASP LLM Top 10 and other frameworks
  • Run adversarial red-team assessments against AI endpoints
  • Manage governance workflows including escalations, evidence, and attestations

We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice. We will not be liable for any modification, suspension, or discontinuation.

3. Account Registration

To access the Service you must register for an account. You agree to:

  • Provide accurate, current, and complete registration information
  • Keep your credentials secure and not share them with third parties
  • Notify us immediately at hello@cognisafe.uk of any unauthorised use of your account
  • Be responsible for all activity occurring under your account

You must be at least 18 years of age to create an account. Accounts registered on behalf of organisations may only be created by authorised representatives.

4. Acceptable Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service to process data in violation of any applicable law or regulation, including the UK GDPR and Data Protection Act 2018
  • Use the red-team or adversarial testing features against systems you do not own or have explicit written authorisation to test
  • Attempt to circumvent any security controls, rate limits, or access restrictions of the Service
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use the Service to process data relating to children under 13 without appropriate parental consent mechanisms
  • Resell or sublicence access to the Service without our prior written consent
  • Introduce malware, viruses, or any malicious code into the Service

We reserve the right to suspend or terminate accounts that violate these restrictions without notice where we reasonably believe a violation has occurred.

5. Subscriptions & Payment

Tiers. The Service is offered under a tiered subscription model: Free, Starter (£20/mo), Professional (£49/mo), Business (£199/mo), and Enterprise (custom pricing). Feature availability is determined by your active subscription tier.

Billing. Paid subscriptions are billed monthly in advance via our payment processor, Stripe. By subscribing you authorise us to charge your payment method on a recurring basis.

Cancellation. You may cancel your subscription at any time through the Billing section of your dashboard. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial months.

Price changes. We may change subscription prices with 30 days' written notice. Continued use of the Service after the price change date constitutes acceptance of the new pricing.

Free tier. The Free tier is provided without charge and may be subject to additional limitations. We reserve the right to modify or discontinue the Free tier at any time with 30 days' notice.

Taxes. All prices are exclusive of applicable taxes. You are responsible for any taxes applicable to your use of the Service.

6. Your Data

Ownership. You retain all rights to data you submit to the Service, including LLM prompts, responses, and any other content ("Customer Data"). We do not claim ownership of Customer Data.

Licence to us. You grant us a limited, non-exclusive licence to process Customer Data solely to provide and improve the Service in accordance with these Terms and our Privacy Policy.

Data processing. Where we process personal data on your behalf, we act as a data processor and you act as the data controller. Our data processing practices are described in our Privacy Policy. Enterprise customers may request a Data Processing Agreement (DPA).

Sensitive data. You are responsible for ensuring that any sensitive personal data (as defined under UK GDPR) submitted to the Service is done so in compliance with applicable law. The PII Detection scorer is provided as a monitoring tool and does not replace your obligations as a data controller.

Data retention. We retain Customer Data for the duration of your subscription and for up to 90 days after termination, after which it is deleted. You may request earlier deletion by contacting us.

7. Intellectual Property

The Service, including all software, algorithms, UI designs, documentation, and brand assets, is owned by Cognisafe LTD and protected by intellectual property laws. Nothing in these Terms transfers any intellectual property rights to you.

You are granted a limited, non-exclusive, non-transferable licence to access and use the Service for your internal business purposes during the term of your subscription.

If you submit feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback without compensation or attribution.

8. Confidentiality

Each party may have access to confidential information of the other. Each party agrees to: (a) keep confidential information strictly confidential; (b) not disclose it to third parties without prior written consent; and (c) use it only for the purposes of these Terms.

This obligation does not apply to information that: is or becomes publicly available through no fault of the receiving party; was known to the receiving party before disclosure; or must be disclosed by law or regulatory requirement.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

The safety scoring, threat detection, and red-team features are probabilistic in nature and may produce false positives or false negatives. They are monitoring tools intended to assist your security processes and do not constitute a guarantee that your AI systems are free from vulnerabilities.

We do not warrant that the Service will be uninterrupted, error-free, or entirely secure.

10. Limitation of Liability

To the fullest extent permitted by law, Cognisafe LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill, arising from your use of or inability to use the Service.

Our total aggregate liability to you for any claims arising under or related to these Terms shall not exceed the greater of: (a) the total fees paid by you in the 12 months preceding the claim; or (b) £100.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under English law.

11. Termination

By you. You may terminate your account at any time by cancelling your subscription and deleting your account through the dashboard or by contacting us.

By us. We may suspend or terminate your access immediately if: (a) you breach these Terms; (b) we are required to do so by law; or (c) we reasonably believe your use poses a security or legal risk.

Effect of termination. Upon termination, your right to access the Service ceases immediately. Sections 6 (Data), 7 (IP), 8 (Confidentiality), 9 (Disclaimers), 10 (Liability), and 12 (Governing Law) survive termination.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to These Terms

We may update these Terms from time to time. Where changes are material, we will notify you by email or via an in-app notice at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
